1. Acceptance of Terms
By accessing and using Sellercharter ("the Service", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.
If you do not agree to these Terms, you may not use the Service.
These Terms constitute a legally binding agreement between you and Sellercharter. By creating an account, you represent that you have read, understood, and agree to be bound by these Terms.
2. Service Description
Sellercharter is a Software-as-a-Service (SaaS) analytics platform for Amazon sellers, providing:
- Product Research Tools: Search and analyze Amazon products by ASIN, keyword, or category
- Profit & Loss Tracking: Monitor revenue, costs, and profit margins across your catalog
- Inventory Management: Track stock levels and receive low-stock alerts
- AI-Powered Insights: Market trend analysis and product opportunity recommendations
- Amazon SP-API Integration: Directly connect your Amazon Seller Central account
Service Availability: The Service is provided "as-is" with a target uptime of 99.9%. Scheduled maintenance will be announced 48 hours in advance via email.
3. Account Registration & Security
3.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts under UAE law. By registering, you represent that all information provided is accurate and complete.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your password
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
Account Sharing: You may NOT share your account credentials with others. Each user requires a separate account. Multi-user organizations should use our Team Plan.
4. Acceptable Use Policy
You agree NOT to:
- Violate Laws: Use the Service for any illegal purpose or in violation of UAE law
- Violate Amazon TOS: Breach Amazon Seller Central Terms of Service or Amazon SP-API Data Protection Policy
- Scrape or Reverse Engineer: Attempt to extract data through automated means (bots, scrapers) or reverse-engineer the Service
- Upload Malicious Code: Transmit viruses, malware, or any harmful code
- Abuse Resources: Overload our infrastructure with excessive API requests (rate limits: 100 requests/minute)
- Impersonate Others: Misrepresent your identity or affiliation
- Compete Unfairly: Use the Service to develop a competing product without permission
Violation Consequences: We reserve the right to suspend or terminate accounts that violate this policy without refund.
5. Subscription & Billing
5.1 Subscription Plans
Free Tier
- 100 product searches per month
- Basic profit tracking (last 30 days)
- No AI insights
Pro Plan - $29/month
- Unlimited product searches
- Full profit/loss tracking (unlimited history)
- AI-powered insights and recommendations
- Inventory alerts
- Email support
5.2 Billing & Payment
- Payment Processor: Stripe (PCI-DSS compliant)
- Billing Cycle: Monthly, starting on the date of subscription
- Currency: USD
- Auto-Renewal: Subscriptions renew automatically unless cancelled
- Payment Failure: If payment fails, account is downgraded to Free tier after 7 days
5.3 Cancellation & Refunds
- Cancellation: You may cancel at any time via Dashboard → Settings → Billing
- No Refunds: We do not offer refunds for partial months (cancel before next billing date to avoid charges)
- Downgrade to Free: Upon cancellation, account reverts to Free tier at end of billing period
- 7-Day Money-Back: New subscribers may request full refund within 7 days of first payment
5.4 Price Changes
We reserve the right to change subscription prices with 30 days' notice via email. Existing subscribers will be grandfathered at current rates for 90 days before new pricing applies.
6. Data Ownership & License
6.1 Your Data
You retain full ownership of all data you submit to the Service, including:
- Amazon SP-API data (sales, inventory, product catalogs)
- Custom notes and annotations
- Profit/loss calculations
6.2 License to Us
You grant us a limited, non-exclusive, revocable license to:
- Process your data to provide the Service
- Create aggregated, anonymized analytics (no individual identification)
- Cache frequently accessed data to improve performance
This license terminates immediately upon account deletion. We will delete all your data within 30 days per our Privacy Policy.
6.3 Our Intellectual Property
The Service, including all software, design, trademarks, and content, is owned by Sellercharter and protected by UAE and international copyright laws. You may NOT copy, modify, distribute, or reverse-engineer any part of the Service.
7. Warranties & Disclaimers
AS-IS Service
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Merchantability or fitness for a particular purpose
- Accuracy, completeness, or reliability of data
- Uninterrupted or error-free operation
- Freedom from viruses or harmful components
Amazon Data Accuracy: We rely on Amazon SP-API for data. We do not guarantee the accuracy of Amazon-provided data. You should verify critical business decisions against Amazon Seller Central directly.
AI Insights Disclaimer: AI-generated insights are probabilistic predictions, not guarantees. Investment decisions made based on AI recommendations are your responsibility.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW:
- No Indirect Damages: We are NOT liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or data loss
- Total Liability Cap: Our total liability is limited to the amount you paid in the past 12 months (minimum $29 USD for paying subscribers)
- Force Majeure: We are not liable for failures caused by Amazon SP-API outages, natural disasters, war, terrorism, or other events beyond our control
Examples of Excluded Damages:
- Lost sales due to incorrect profit calculations
- Missed opportunities from late inventory alerts
- Business losses from Service downtime
- Reputation damage from data breaches (covered by insurance up to $1M)
9. Indemnification
You agree to indemnify and hold harmless Sellercharter, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your violation of these Terms
- Your violation of Amazon Seller Central Terms of Service
- Your infringement of third-party intellectual property rights
- Your misuse of the Service
- Any data you submit to the Service
10. Termination
10.1 Termination by You
You may terminate your account at any time via Settings → Delete Account. Data is deleted within 30 days per PDPL Article 15.
10.2 Termination by Us
We reserve the right to suspend or terminate accounts that:
- Violate these Terms or Acceptable Use Policy (Section 4)
- Engage in abusive behavior toward support staff
- Fail to pay subscription fees for 30 days
- Attempt to defraud or abuse the Service
- Use the Service for illegal activities
Notice: We will provide 7 days' notice before termination (immediate for fraud or illegal activity). No refunds for terminated accounts.
10.3 Effect of Termination
- Access to the Service terminates immediately
- Data is deleted within 30 days (except legally required records)
- Licensing rights terminated immediately
- No refunds for unused subscription periods
11. Governing Law & Dispute Resolution
11.1 Governing Law
These Terms are governed by the laws of the United Arab Emirates, specifically Dubai jurisdiction, without regard to conflict of law principles.
11.2 Dispute Resolution
In the event of a dispute:
- Informal Resolution: Contact us at legal@sellercharter.com within 30 days. We will attempt to resolve within 60 days.
- Mediation: If unresolved, disputes will be mediated by Dubai International Arbitration Centre (DIAC).
- Arbitration: Unresolved disputes will be arbitrated under DIAC Arbitration Rules (English language, single arbitrator).
- Court Venue: If arbitration is declined, disputes will be resolved in Dubai Courts exclusively.
11.3 Class Action Waiver
You agree to resolve disputes individually. Class actions, class arbitrations, and representative actions are NOT permitted.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via:
- Email notification 30 days in advance
- Prominent banner on Dashboard
- Updated "Last Updated" date on this page
Continued Use = Acceptance: Continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you disagree, you must stop using the Service and cancel your account.
13. Miscellaneous
13.1 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full effect.
13.2 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sellercharter.
13.3 Assignment
You may not assign or transfer your rights under these Terms. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
13.4 Force Majeure
We are not liable for delays or failures caused by circumstances beyond our reasonable control (e.g., natural disasters, war, terrorism, Amazon SP-API outages, GCP outages).
